How to register a company
The first step in any business is choosing the type of company and the most common set-up is an S.R.L. (Societatea cu raspundere limitata or Limited Liability Company).
What documents do I need to set up a company?
The steps for opening a S.R.L. are regulated by Law 31/1990 and consist of 4 mandatory steps:
- Compiling a registration file
- Submitting the file to the Trade Registry service
- The registration approval period

Etapa 1: Compiling a registration file
Preparing a company registration file requires strict adherence to the form and content of the required documents. You want your request to be accepted at the first attempt, without having to return to complete, correct or amend files after submission.
Before preparing the file, you need to write the company articles of associations, , which will include: the name of the company, who are the associates/shareholders, the share capital (which, after recent changes, can now be deposited after company registration), its business purpose, where the registered offices will be located etc.
Documents required in an S.R.L. registration file:
- Registration request
- Annex 1 and Annex 2 related to the foreign investment (only for the companies with a registered office abroad and non-Romanian investors)
- Company name reservation certificate
- Self-declared site of the company’s activity, subject to obtaining the required permits
- Articles of association – see above
- The document attesting to the right to use the address of the registered offices
- Self-declaration forms and specimen signatures (managers and shareholders)
- Identity documents of the founders, managers etc
- A power of attorney for the person authorised to submit the file to the Trade Registry service
*If the company will be operating out of its registered offices, we will also need the permit from the Owners Association (for change of use of the property).
Step 2: Submitting the file to the Trade Registry service
A paper or electronic submission can be made in person or via the Trade Registry portal and you will then receive a registration number. File approval will require a proof of payment for the registration fee.
Step 3: The registration approval period
After receiving proof of payment of the fee, the deadline for approval is usually set for the next working day, which is the date on which the court hearing will take place at the Trade Registry service.
Step 4: Registered company documents issued
After approval, these documents can be picked up from the office that issues certificates at the Trade registry service.
